Looking at buying my friends 2014 2100 bay boat, he passed away 4 years ago and his grown children would like to sell the boat to me. I am vary interested in the boat
I know the boat new was 38K it has only around 140 hours on it, has 150 yamaha 4 stroke with a tandem trailer.
the boat was winterized 2 years ago and has sat in the dive way for the last few years. the boat has never been covered ( what a mess). I am going to clean it up before I make an offer
I am having trouble coming up with a fair price Any help would be appreciated.

You might check NADA pricing for your zip code www.nadaguides.com/Boats . Due to the pandemic creating demand and supply issues many used boats are now selling for their original price or even higher.

Have you shopped boat trader or boats.net to get an idea of prices in today's climate? New/used boat pricing is crazy and is supply/demand driven. And yes used boats are even selling for more than what people bought them for a few years ago.
A quick search on Boat Trader I found 1 2012 2100cc listed for $49k.
A 2016 Sailfish 1900cc is listed at $39k with 365 hrs
There's a cherry 2012 1900 Bay posted on Craig's List in Bradenton for $34.9k with 253hrs.
I guess my point is, what your friend paid for it is irrelevant in today's market. Nothwithstanding sitting for a couple if year's and requiring some TLC to breath life back into the boat, if she's in excellent condition I'd offer a fair market price less whatever you think its going to take to put her back in service.
Below is a list that comes to mind...
1) pump out fuel. Replace with fresh.
2) 200hr service - replace all fuel filters, VST, F filter, front fuel filter, water fuel separator, change oil/filter, lower unit oil, spark plugs, tstat, poppet valve, water pump and impeller
3) A professional detail inside/out.
4) Check all switches, pumps and replace as necessary.
5) New vinyl if it's trashed and beyond clean up.
Have you asked the kids what they want for it? Don't negotiate against yourself.

I would also recommend hiring a surveyor, worth every penny. Have them check compression etc. on the engine (after switching out old fuel as suggested by fishnfool) and make sure the hull is sound and doesn't have any voids.
